CANDIDATE TERMS OF REGISTRATION WITH MARSHALL HARBER EXCLUSIVE ONLINE STAFFING AND PRIVACY STATEMENT When you Register with us with a view to seeking employment, the following provisions apply: 1. Definitions The following terms and expressions have the meanings stated: "Anonymise" means to remove the Candidate's full names, gender, address, date of birth, email, mobile telephone number and any other information we, in our discretion, consider capable of identifying you "Application" means the initial submission by you of Information and Documents we require and request of you as part of your Registration with us "CV" means your record of work history, professional qualifications and experience from time to time - usually contained in one document "Documents" includes such identifying documents as your passport, any visa or relevant work permit, utility bills, or driving licence "Employer" means any employer with a household or similar staff vacancy to fill and who has arrangements with us to use the Online Service "Information" includes information belonging to you such as your full names, address, date of birth, CV, work history, and such other information as we may require, which is relevant to your objective of finding Work through us, and which we collect, handle and store on your behalf. For the avoidance of doubt we do not apply for references on your behalf – this is a matter for a prospective employer "MHEOS" means Marshall Harber Exclusive Online Staffing (variously "we", "us", "our", "MHEOS") of 1 Adam & Eve Mews, Kensington, London W8 6UG “Online Service" means the service provided by MHEOS of using reasonable endeavours to assist you in providing the opportunity for you to find Work by anonymising and adding your CV to the MHEOS database and continuing to make the said database available to all those Employers in England and Wales who subscribe to MHEOS from time to time and who are entitled to view your Anonymised CV on the MHEOS Web Site and to contact you using the forms found on the Site (without revealing your name, email or mobile telephone number) direct from the Site "Registration" is the process by which we assess your Application, decide if we will accept it and, if in the affirmative, notify you by adding your CV to the MHEOS database and confirm with you by email or otherwise in writing as we (in our sole discretion) may decide from time to time, and at which time an Agreement comes into effect on the Terms (and for the avoidance of doubt, the receipt of your Application in no way obliges us to accept your Application and we are entitled to decline it and either to explain our decision to you or, in our discretion, to give no reason for our decision), and "Register" shall be construed accordingly "Sensitive Data" means sensitive data as defined in the Data Protection Act 1998 “Site” means the Website at http://www.householdstaffonline.com/ "Terms" means these terms and conditions which regulate your and our rights and duties as set out herein and any arising after the date of Registration "Verify" means the taking of such steps (including, by way of example only, the checking of your CV for relevant experience, contacting you directly by phone to ensure that your mobile is working correctly and to confirm your email address), as we in our discretion may take to satisfy ourselves of the accuracy and authenticity of the Information and without which satisfaction MHEOS is not bound to accept your Application to Register to join the Online Service "Work" means permanent or temporary, part time or full time employment, or other commercial arrangements 2. Your obligations You agree 2.1 to Register with us for the purposes of finding Work through MHEOS, and 2.2 for that purpose to provide us with true and accurate Information and at all material times to keep the Information up to date and to provide on demand any additional information and/or Documents that we require to enable us to Verify the Information, and 2.3 that via the Online Service we may make your Information (after we Anonymise it) potentially available to prospective Employers on these Terms 2.4 you warrant on a continuing basis that the Information is true and accurate and that you will keep us free from harm, loss, damage or claims in connection with the provision of any Information which, in fact, is not true and accurate, and you agree to indemnify us should we suffer any claim, loss, injury or damage in consequence of such untruth or inaccuracy, and 2.5 that should we discover at any time and by any means that you are guilty of any conduct which in our view (we acting solely in our discretion, but fairly and reasonably) means that you are not a fit and proper person to have your details on the MHEOS database, then we are entitled to terminate this Agreement, to remove your details, and to have no further dealings with you, and, further, to take any other action we consider appropriate 3. Our obligations 3.1 We agree to record and Anonymise your Information and to provide you with access to the Online Service indefinitely and unless and until you notify us to the contrary in accordance with sub-clause 4.3 below 3.3 We acknowledge and agree that it is intended that you may deal directly with such prospective employers as contact you from time to time through the Online Service General 4 You and we agree with each other and confirm that: 4.1 Under no circumstances will you be charged any fee or be required to make any payment to us in connection with the Online Service and you understand and acknowledge that we will charge prospective employers (our Clients) who use the Online Service in accordance with our contractual arrangements with them 4.2 Notwithstanding this Agreement, you are entitled to find Work through any other means at your disposal - and you acknowledge that if, in the course of performing our obligations to you under this Agreement, you find Work through the Online Service then we will receive payment from the Employer in accordance with our contractual arrangement(s) with them 4.3 You are entitled to give us notice in writing by email to end this Agreement and to ask us to cease providing you with access to the Online Service at any time 4.4 You are entitled to deactivate and reactivate your registration with us from time to time in your discretion and this can be done by emailing the office on online@marshallharber.com. At any time, you are entitled to ask us to delete your information permanently from our records 4.5 We may use your Information to keep you informed of specific and selected services we offer or develop and where we feel these may be of benefit to you 4.6 The MHEOS Web Site may provide links to third-party Web sites for your convenience and information. If you access such sites, you will leave the Site and we do not control those other sites or their privacy policies and practices, which may differ from ours. Please ensure you review the privacy policy of any such third party Web site/company before submitting any personal information 4.7 We do not actively seek Sensitive Data from you but where such information comes into our possession or control (by way of example only, where you work as a locum and notify us of your absence from work owing to sickness preventing you from attending work) you authorise us to record, handle and store it, along with the Information 4.8 To enquire about accessing the Information we are holding about you from time to time, please email online@marshallharber.com, or write to us at 1 Adam & Eve Mews, Kensington, London W8 6UG. If you make such a request, we will provide you with a readable copy of your Information within 40 days, and we reserve our right to request you to pay the standard fee payable where a "subject access" request is made under the Data Protection Act 1998; if we do not already hold it, we will require proof of your identity 4.9 We respect your privacy and confidentiality, and we agree to use your Information only for the purposes stated, and accordingly we hold your information on a secure database 4.10 Telephone calls may be monitored or recorded for quality, training or compliance purposes 4.11 Notwithstanding steps taken by us acting in your interests in providing access to the Online Service, you agree and accept that there is a possibility that an Employer may identify you from Information made available by us on the Site and that this risk is acceptable to you, and you agree that in the absence of wilful and dishonest intent on our part you are not entitled to make any claims against us whatsoever 4.12 For the avoidance of doubt, you agree that we are not entitled nor authorised by you to conclude a contract with an Employer which has the effect of creating legally binding rights and duties between you and them, and any decision you make to join an Employer is your responsibility and you are required to investigate and satisfy yourself of the standing and integrity of such an Employer; you acknowledge and agree that we give no warranty as to the suitability, career prospects or financial standing of any such Employer, and any decision you make in that regard is yours and you take full responsibility for the same 4.13 Full details of the Online Service provided by MHEOS can be viewed at the Site by visiting http://www.householdstaffonline.com/ 4.14 In our discretion, and for any reason whatsoever, we are entitled to assign this Agreement and the rights and obligations arising therefrom and upon written notice of such assignment to you, your contractual relationship is with our assignee as if the Agreement had originally been made by you with our assignee and to and from whom your obligations and entitlements are due 4.15 The headings of these Terms are for convenience only and do not affect the interpretation of them 4.16 Each of these Terms is deemed separate and severable and if any Term is deemed to be unlawful and is struck out that shall not affect the remaining Terms which remain in full force and effect 4.17 This Agreement is governed by the laws of England and Wales and the Courts of England and Wales have exclusive jurisdiction to deal with any dispute arising from this Agreement or the use of our Websites 4.18 The singular includes the plural and vice versa 4.19 The masculine includes the feminine and neuter and vice versa
